1. Agreement to Terms
By accessing or using EntityGuide (“Service”), including our website, applications, and any related tools or content, you agree to be bound by these Terms and Conditions. If you do not agree, do not use the Service. We may update these terms from time to time; continued use after changes constitutes acceptance.
2. Description of Service
EntityGuide provides software and tools for entity structure modeling, compliance tracking, and related documentation. The Service is intended to assist users in organizing and visualizing entity and compliance information. It does not provide legal, tax, or financial advice. You are responsible for consulting qualified professionals for advice specific to your situation.
3. Eligibility and Account
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of information you provide and for keeping your account credentials secure. You may not use the Service for any illegal purpose or in violation of any applicable laws.
4. Acceptable Use
You agree not to: (a) misuse or attempt to gain unauthorized access to the Service or others’ accounts; (b) transmit malware or interfere with the Service’s operation; (c) scrape, copy, or resell the Service or content without permission; (d) use the Service in a way that harms or could harm EntityGuide, other users, or third parties. We may suspend or terminate access for violation of these terms.
5. Intellectual Property
EntityGuide and its licensors own all rights in the Service, including software, design, text, and other content. We grant you a limited, non-exclusive, non-transferable license to use the Service for your own internal use in accordance with these terms. You do not acquire any ownership rights.
6. Your Data and Privacy
Your use of the Service is also governed by our Privacy Policy. You retain ownership of data you submit. By using the Service, you grant us the rights necessary to operate, improve, and secure the Service as described in the Privacy Policy.
7. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. THE SERVICE IS NOT A SUBSTITUTE FOR PROFESSIONAL LEGAL, TAX, OR FINANCIAL ADVICE.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ENTITYGUIDE AND ITS AFFILIATES, OFFICERS, AND EMPLOYEES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.
9. Indemnification
You agree to indemnify and hold harmless EntityGuide and its affiliates from any claims, damages, or expenses (including reasonable attorneys’ fees) arising from your use of the Service, your violation of these terms, or your violation of any third-party rights.
10. General
These terms are governed by the laws of the State of Ohio, without regard to conflict of law principles. Any dispute shall be resolved in the courts located in Ohio. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a right does not waive that right. You may not assign these terms without our consent; we may assign them in connection with a merger or sale of assets.
